NOTICE CONCERNING MERGERS:

Mergers with or into Arizona entities pursuant to Title 10 must be published in all cases, no matter whether the surviving entity is an Arizona entity or a foreign entity. Mergers with or into Arizona entities pursuant to Title 29 must sometimes be published, depending upon whether the articles of merger contain amendments to the surviving entity's articles of organization. If the merger filing is approved, the approval letter will indicate whether or not the articles of merger must be published. When publication is required, the entire Articles of Merger plus any exhibits or attachments thereto must be published.

Attention: Corporations and Financial Institutions.

Effective March 15th, 2010:

Please be advised that on March 15th 2010, we will have only one Certificate of Disclosure form for all corporations, including financial institutions. The Certificate of Disclosure form will be available on our forms page. To access and view the forms page Click here.

Attention: MOD Account holders and fax filers.

Faxed document submittals - please do not fax your document more than once. Your own fax machine printout is your confirmation that your faxed document was properly transmitted to the A.C.C. Corporations Division. The A.C.C. Corporations Division does not send any confirmation.

Attention: Annual Report Filers Important Announcement on Reminder Notices.

Effective October 1st,  2009:

The Arizona Corporation Commission over the past year has been mailing out reminder notices to file your annual report.  As of September 2009, The Commission will discontinue mailing out annual report reminder notices. There are three options available to you to file your annual report. They are:

Option 1: FILE ELECTRONICALLY. 

Option 2: PRINT & MAIL THE ANNUAL REPORT. 

Option 3: REQUEST THE ANNUAL REPORT FORM.

Update 04/01/2009:  Now accepting American Express cards.

Fees:   All Regular filing fees, Expedite and Electronic filing fees are NON REFUNDABLE pursuant to A.R.S §§10-122, 10-2020, 10-2079, 10-2145, 10-3122 & §29-851.  Expedite fees (or any other filing fees) paid for a filing cannot be re-applied to any other subsequent filing.

Forms of Payment: Acceptable forms of payment are Cash, Check, Money Orders, and Credit Cards (Visa, Master Card and American Express only).

Cash is accepted in the Phoenix and Tucson office locations for in person filings only - Do not send cash in the mail.

Visa, Master Card and American Express are accepted in the Phoenix and Tucson office locations for documents filed in person.

We also accept Visa, Master Card and American Express for the following electronically filed documents: (annual reports, name reservations and good standings).

Visa, Master Card and American Express are accepted for replenishing a money on deposit account in the Phoenix office only.

Please make check or money order payable to the Arizona Corporation Commission. 

Please note: The Arizona Corporation Commission does not accept checks that do not have an imprinted name or address of the account holder on them. We can accept checks drawn on non-U.S. banks as long as the CHECK IS payable in U.S. DOLLARS, which MUST BE stated on the check.

 

     
LEGISLATIVE:

 

New laws become effective September 30th, 2009. Provisions of  House Bill HB2199 (Laws 2009 Chapter 42) include a number of important changes for our customers.

News Alert:  Warning notice to our customers--Very Important Please Read! 

There are  organizations who are sending out official-looking documents to advertise their services to Arizona businesses. These customer solicitations are in no way affiliated with Arizona Corporation Commission.  These mailings generally offer a service and list a fee.  Please be advised that you are not required to file with these organizations, nor are you required to pay the fee.  These documents look very similar to Corporation Commission filing documents and often include the file number assigned to the business by the Corporation Commission.

If you believe you are a victim of fraud or if you have received this document please contact the Arizona Attorney General's Office in Phoenix at (602) -542-5763 or outside the Phoenix and Tucson metro areas at 1 (800)-352-8431.

Additionally, you can file a complaint online by going to the Arizona Attorney General's website at www.azag.gov.   Once there, click on "Select Topic" then click on "Consumer Complaints" and finally select "File a Complaint Online"
